Terms of Use
Contents
These terms are a draft for review, and will be finalized before the app is released.
The short version
Conversant is for your personal learning. Subscriptions are billed and managed by Apple, renew automatically until you cancel, and can be cancelled at any time in your Apple Account settings. The lessons are ours: please don’t copy or redistribute them. These terms are governed by the laws of Rhode Island.
1The agreement
These Terms of Use (the “Terms”) are an agreement between you and Conversant App LLC, a Rhode Island limited liability company (“Conversant,” “we,” or “us”). They govern your use of the Conversant iPhone app (the “App”) and the website at conversantapp.com (together, the “Service”). By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Our Privacy Policy explains how we handle information, and forms part of these Terms.
2Who may use Conversant
You must be at least 13 years old to use the Service. If you are under 18, or under the age of majority where you live, you may use it only with the involvement of a parent or guardian who agrees to these Terms on your behalf.
3Your license
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to download and use the App on Apple-branded devices that you own or control, as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions, for your own personal, non-commercial use.
You agree not to:
- copy, sell, rent, redistribute, publish, or make derivative works from the App or its lessons, narration, images, or other content, except as allowed below;
- scrape, bulk-download, or otherwise extract content from the App, including to train or improve artificial intelligence models;
- decompile, reverse engineer, or attempt to extract the App’s source code, except where the law expressly permits it;
- remove copyright or attribution notices, or get around any access restriction, such as a subscription requirement;
- use the Service in a way that breaks the law or infringes anyone’s rights.
You may quote short passages from lessons for personal, educational, or review purposes, with credit to Conversant.
4Our content
The App, its lessons, narration, illustrations, interactive features, and design, and the Conversant name, belong to Conversant or our licensors and are protected by copyright, trademark, and other laws. Some images and recordings are in the public domain or used under open licenses; they are credited in the App, and their own terms apply to them. These Terms do not give you ownership of anything in the Service.
5Learning, not advice
Lessons are written for general education. They are not professional advice of any kind, including financial, investment, legal, medical, or psychological advice, and you should not rely on them as such. We work hard to be accurate and we name our sources, but lessons can contain errors or simplifications, and knowledge changes. If you find a mistake, please tell us.
6Subscriptions and free trials
To confirm: plans, prices, and offers, once purchases are built.
What is free
Some content, such as the lesson of the day, is available without charge. The full library requires a subscription or another purchase.
Plans and prices
We may offer auto-renewing subscriptions, such as monthly and annual plans; a one-time purchase that gives lasting access; and occasional introductory or promotional offers. The plans, prices, and terms available to you are shown in the App and on the App Store before you buy, in your local currency, and may vary by country.
Payment
All purchases are made through Apple’s App Store and charged to your Apple Account when you confirm the purchase. Apple’s terms and policies apply to the payment. We do not receive or store your payment details.
Automatic renewal
A subscription renews automatically at the end of each period, at the price then in effect, unless you turn off automatic renewal at least 24 hours before the end of the current period. Your Apple Account will be charged for the renewal within the 24 hours before the current period ends.
Free trials
If a free trial is offered, it becomes a paid subscription when the trial ends, unless you cancel at least 24 hours before then. Apple decides eligibility, and a trial is generally available only once. Any unused part of a free trial ends when you buy a subscription.
Cancelling
You can manage or cancel a subscription at any time in your iPhone’s Settings: tap your name, then Subscriptions, then Conversant. After you cancel, you keep access until the end of the period you have paid for, and the subscription does not renew. Deleting the App does not cancel a subscription.
Refunds
Refunds are handled by Apple under its policies. You can request one at reportaproblem.apple.com. We cannot issue refunds for purchases made through the App Store.
Price changes
If we change the price of a subscription, Apple will tell you in advance and, where the law or Apple’s rules require it, ask for your consent before the new price applies.
Lasting access
A one-time (“lifetime”) purchase gives you access to the full library for as long as we continue to offer the App. It does not mean for your lifetime or for any fixed period.
Family Sharing
Whether a purchase can be shared with your family through Apple’s Family Sharing is shown on the App Store. To confirm.
7Changes to the service
We may add, update, or remove lessons and features, and we may stop offering the Service. If we stop offering it entirely, we will give reasonable notice where we can.
8Feedback
If you send us suggestions or corrections, you allow us to use them freely, without any obligation to you.
9Ending these terms
You may stop using the Service at any time. We may suspend or end your license if you seriously or repeatedly break these Terms. Provisions that by their nature should continue, such as those on ownership, disclaimers, liability, and governing law, continue after these Terms end.
10Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
Some places do not allow these exclusions, so some of them may not apply to you.
11Limitation of liability
To the fullest extent permitted by law, Conversant and its members, managers, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to the Service. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid for the Service in the twelve months before the claim arose and fifty U.S. dollars.
Nothing in these Terms limits liability that cannot be limited by law.
12Indemnity
If you use the Service in breach of these Terms or the law, and that leads to a claim against us, you agree to cover our reasonable losses and costs arising from it, to the extent the law allows.
13Governing law and disputes
These Terms are governed by the laws of the State of Rhode Island, United States, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service will be brought only in the state or federal courts located in Rhode Island, and you and we consent to their jurisdiction.
If you live outside the United States, you keep the protection of any mandatory consumer laws of your country, and you may bring proceedings in your local courts where those laws allow. Before bringing a claim, please write to us so we can try to resolve it informally.
14Apple
The following applies to the App as obtained from Apple’s App Store.
- These Terms are between you and Conversant only, not Apple. Conversant, not Apple, is solely responsible for the App and its content.
- Your license is limited to using the App on Apple-branded products that you own or control, as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions, except that the App may be accessed by other accounts associated with you through Family Sharing or volume purchasing.
- Conversant is solely responsible for providing maintenance and support for the App. Apple has no obligation to provide any maintenance or support services for it.
- If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the App. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to a warranty are Conversant’s responsibility, to the extent not disclaimed in these Terms.
- Conversant, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your possession and use of it, including product liability claims, claims that the App fails to conform to any legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar laws.
- If a third party claims that the App or your possession and use of it infringes that party’s intellectual property rights, Conversant, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- You must comply with any applicable third-party terms when using the App.
- Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple will have the right, and will be deemed to have accepted the right, to enforce them against you as a third-party beneficiary.
15Changes to these terms
We may update these Terms. We will post the new version here with a new date and, for significant changes, tell you in the App or on this site before they take effect. If you keep using the Service after that, you accept the updated Terms.
16General
These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part of them is found unenforceable, the rest remains in effect. If we do not enforce a provision, that is not a waiver of it. You may not transfer these Terms to anyone else; we may transfer them to a successor in a merger, acquisition, or sale of assets.
